1. Definitions
In these Terms & Conditions:
- “MEGACLEAN,” “we,” “us,” “our” refers to MEGACLEAN NZ LIMITED.
- “Client,” “you,” “your” refers to the person or organisation engaging our services.
- “Services” refers to all commercial cleaning and related services provided by MEGACLEAN.
- “Agreement” refers to the service agreement, quote acceptance, or contract between MEGACLEAN and the Client.
2. Acceptance of Terms
By engaging our services, submitting a quote request, or using our website, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services or website.
3. Services
- MEGACLEAN will provide commercial cleaning services as described in the agreed service plan or quote.
- The scope, frequency, and specific requirements of services will be outlined in your individual service agreement.
- We reserve the right to substitute cleaning products or equipment with alternatives of equal or superior quality.
- Additional services beyond the agreed scope may be requested and will be quoted separately.
4. Quotes & Pricing
- All quotes are provided free of charge and are valid for 30 days unless otherwise stated.
- Prices are quoted in New Zealand Dollars (NZD) and are exclusive of GST unless stated otherwise.
- We reserve the right to adjust pricing with 30 days’ written notice, reflecting changes in costs, scope, or market conditions.
- Once a quote is accepted, a service agreement will be issued outlining final pricing and terms.
5. Client Obligations
The Client agrees to:
- Provide safe and reasonable access to the premises at agreed times
- Inform MEGACLEAN of any hazards, security requirements, or special conditions
- Ensure adequate lighting, water supply, and power are available
- Notify us promptly of any changes to schedule, access, or requirements
- Not interfere with or direct MEGACLEAN staff in a manner inconsistent with health and safety standards
6. Payment Terms
- Invoices are issued monthly (or as agreed) and payable within 14 days of the invoice date.
- Payment may be made via bank transfer, direct debit, or other agreed methods.
- Late payments may incur interest at 1.5% per month on the overdue balance.
- MEGACLEAN reserves the right to suspend services if payment is overdue by more than 30 days.
7. Cancellation & Termination
- Either party may terminate a service agreement by providing 30 days’ written notice.
- For one-off services, cancellations must be made at least 48 hours before the scheduled date to avoid a cancellation fee.
- MEGACLEAN may terminate services immediately if the Client breaches these terms or fails to provide a safe working environment.
- Upon termination, any outstanding invoices remain payable in full.
8. Insurance & Liability
- MEGACLEAN holds comprehensive public liability and professional indemnity insurance.
- We will take reasonable care to avoid damage to your property. Any damage caused directly by our staff will be assessed and remedied at our cost.
- MEGACLEAN’s total liability for any claim is limited to the value of the services provided in the relevant billing period.
- We are not liable for damage caused by pre-existing conditions, normal wear and tear, or circumstances beyond our control.
- Claims for damage must be reported within 48 hours of the service.
9. Health & Safety
MEGACLEAN is committed to maintaining the highest health and safety standards. We comply with the Health and Safety at Work Act 2015 and:
- Ensure all staff are trained in safe work practices and the use of cleaning chemicals
- Conduct site-specific risk assessments
- Use eco-friendly and approved cleaning products where possible
- Maintain Safety Data Sheets (SDS) for all chemicals used on-site
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the service relationship. This obligation survives termination of the agreement.
11. Intellectual Property
All content on the MEGACLEAN website, including text, images, logos, and design, is the property of MEGACLEAN NZ LIMITED and is protected by copyright. You may not reproduce, distribute, or use our content without written permission.
12. Website Use
- Our website is provided for informational purposes and to facilitate service enquiries.
- We make reasonable efforts to ensure website content is accurate but do not guarantee it is error-free.
- You agree not to use our website for any unlawful purpose or to attempt to gain unauthorised access to our systems.
13. Force Majeure
MEGACLEAN shall not be liable for failure to perform services due to circumstances beyond our reasonable control, including natural disasters, pandemics, government restrictions, or severe weather events.
14. Disputes
In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If unresolved, the dispute may be referred to mediation. These terms are governed by the laws of New Zealand, and the courts of New Zealand have exclusive jurisdiction.
15. Changes to These Terms
MEGACLEAN may update these Terms & Conditions from time to time. Changes will be posted on this page. Continued use of our services or website after changes constitutes acceptance of the updated terms.
